These Terms of Service ("Terms") govern your access to and use of the Sellwise website, mobile application, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Accounts and Registration
To use certain features of the Service, you must register for an account ("Account"). You agree to provide accurate, current, and complete business information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your Account.
2. Use of the Service
Sellwise grants you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your business operations, including point-of-sale transactions, inventory management, and sales tracking. You agree not to:
- Use the Service for any illegal or unauthorized purpose.
- Misrepresent sales data or inventory records for fraudulent purposes.
- Modify, adapt, or hack the Service or modify another website so as to falsely imply that it is associated with the Service.
- Violate any laws in your jurisdiction (including but not limited to tax and copyright laws).
3. Subscription and Payment
Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.
4. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Sellwise and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and branding may not be used in connection with any product or service without the prior written consent of Sellwise.
5. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
6. Limitation of Liability
In no event shall Sellwise, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory.
7. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
